Terms and Conditions
1. Data Provenance & Sources This workbook contains a compilation of proprietary BlockScores analytics and third-party public business records. Competitive data is sourced from third-party aggregators and official public APIs. BlockScores does not claim ownership of individual third-party business listings or copyrighted user-generated content. The end-user acknowledges that third-party data sources may, at any time, cease to be made available. While any such cessation will not impact previously delivered data sets, it may result in changes to ongoing service offerings and future data availability.
2. "As-Is" Data Provision All third-party data is provided "as-is" for strategic reference only. While BlockScores utilizes multi-step validation to ensure high fidelity, business attributes such as operating hours, contact information, and public ratings are subject to real-time changes by the respective business owners and platform providers.
3. Professional Interpretation The value of this service lies in the proprietary models, analysis, AI-guided instruction sets, and strategic scoring applied to the data. This service is intended for business intelligence and strategic, operational, and tactical use cases and does not constitute a legal or financial guarantee of future performance.
4. Professional Methodology & Local Context BlockScores utilizes professional-grade analytics and site-specific data sets to provide a high-fidelity foundation for decision-making. However, the end-user acknowledges that these models and the services provided as a whole may not consider certain hyper-local circumstances—such as specific municipal ordinances, zoning regulations, or other site-specific constraints known to the local operator—that can impact the resultant deliverables. This service is designed to complement, not replace, the user's specialized local knowledge and on-the-ground due diligence.
5. Third-Party Tool Autonomy & Performance The AI engines (e.g., Gemini, ChatGPT, Claude) and thematic mapping utilities (e.g., Mapbox) incorporated within the BlockScores workflow are independent third-party platforms. BlockScores does not control, maintain, or influence these external engines or utilities. Accordingly, BlockScores makes no commitment to the future longevity, utility, or performance of these third-party tools.
6. Intellectual Property and Ownership Except for a limited, non-exclusive, perpetual right to use the provided Client-specific data as set forth herein, BlockScores does not convey, transfer, or assign any ownership interest, equity stake, or right of use regarding its proprietary infrastructure, underlying models, mathematical algorithms, software architecture, or any other intellectual property of the Company. All such rights, title, and interest in and to the Company’s technology and methodology remain the sole and exclusive property of BlockScores.
7. Authorized Use, Confidentiality, and Restrictive Covenants
7.1 Grant of License. Subject to the terms and conditions of this Agreement, the Company hereby grants to the Client a perpetual, non-exclusive, non-transferable license to utilize BlockScores’ data solely for internal business intelligence, strategic planning, and marketing development. Access to and use of said data is strictly limited to the Client’s principals, authorized employees, and designated professional consultants or advisors who are bound by confidentiality obligations no less restrictive than those contained herein.
7.2 Non-Distribution and Prohibited Use. The Client shall not resell, sublicense, publish, or otherwise distribute the provided data to any third party. The Client is expressly prohibited from utilizing the data for any purpose other than the internal business applications specifically authorized in these Terms and Conditions.
7.3 Standard of Care. The Client shall safeguard and maintain the strict confidentiality of all BlockScores-provided data, alongside any and all other non-public or proprietary information shared by the Company. The Client agrees to protect this information from unauthorized access or disclosure with the same degree of care and veracity it employs to protect its own most sensitive corporate assets.
7.4 Non-Competition. Other than for the Client's internal operational requirements, the Client is strictly prohibited from utilizing Company data, infrastructure, or methodology to develop, market, or supply any product or service that competes, directly or indirectly, with the business of BlockScores. Any exception to this restrictive covenant requires the prior express written electronic consent of a legally authorized representative of BlockScores.
8. Remedies for Breach The Client acknowledges that any unauthorized use or disclosure of BlockScores’ proprietary data or intellectual property would cause irreparable harm for which monetary damages alone would be an inadequate remedy. Accordingly, in the event of a breach or threatened breach of these terms, BlockScores shall be entitled to seek injunctive relief and specific performance, in addition to any other legal remedies available, without the necessity of posting a bond.
9. Limitation of Liability & Waiver To the maximum extent permitted by law, BlockScores, its owners, and affiliates shall not be liable for any indirect, incidental, special, or consequential damages (including lost profits or business interruption) arising out of the use of this data. In no event shall the total liability of BlockScores for any and all claims related to this service exceed the actual amount paid by the client for the specific service licensing.
10. Severability In the event that any provision, or part thereof, contained in these Terms of Use or the Privacy Policy is declared by a court of competent jurisdiction to be invalid, illegal, or unenforceable in any respect, such invalidity, illegality, or unenforceability shall not affect any other provision of this Agreement. The parties shall negotiate in good faith to modify this Agreement to replace such invalid provision with a valid and enforceable provision that most closely approximates the original intent and economic effect of the severed provision.
11. Governing Law & Dispute Resolution (Illinois) This agreement and all services provided shall be governed by the laws of the State of Illinois. Any dispute, claim, or controversy arising out of or relating to this service shall be settled by binding arbitration in Chicago, Illinois, in accordance with the rules of the American Arbitration Association, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. The parties waive their right to a jury trial or to participate in a class action.
12. Permitted Use The recipient is granted a perpetual license to use this data for internal business planning and marketing strategy. Redistribution of raw third-party datasets in a manner that competes with the original data providers is strictly prohibited under their respective Terms of Service.
